hillip Tidwell, Investment Services Manager, Eastman Chemical Company, will be discussing the current mergers and acquisitions environment and its associated challenges.  He will review the Eastman M&A process focusing on strategy development, candidate search and selection, approach and execution, and implementation.  Phillip will also explain the Corporate Development roles and responsibilities.  This will be a joint meeting with TSPE.

Message From the Chair

 

Our local section continues to offer great programs as evidenced by the member turnout.  We had so many requests for the King Pharmaceuticals tour that we had to offer it on three separate dates in November.  Our December 6 program on the "Eastman Due Diligence Process for Mergers and Acquisitions" should be of interest to a number of our members as well.  See articles on these programs elsewhere in this newsletter.

 

The ballots for election of our 2001 Officers and Directors were mailed out in early November.  Please vote for the candidates of your choice and return the ballot to Brian Joyner before the November 28 deadline.  The results of the election will be announced at our December 6 program.  If you are interested in serving on one of our committees (Program Committee, Nominating Committee, Awards Committee), please contact David Denton at 229-6559.  I may be contacting some of you in the next few months regarding potential nominees for national AIChE awards.  I thank you in advance for any suggestions or help you can provide.  I would also like to express my appreciation to Burts Compton who has recently agreed to join Jennifer Mize as a co-editor of our newsletter.  We have one of the best local section newsletters in all of AIChE and I’m sure Burts will help us keep it that way.

November Meeting Recap

Tour of King Pharmaceuticals

 

The November, 2000, tour of King Pharmaceuticals, Inc. in Bristol, Tennessee, was so popular with our membership that it had to be scheduled on three separate dates (November 3, 10, and 17).  Unfortunately, due to safety and scheduling concerns related to construction of a major new production line at King Pharmaceuticals, the November 17 tour had to be cancelled.  Due to the expected length of this major construction project, it is uncertain whether it will be possible to schedule an additional tour (at least in the near future). 

King Pharmaceuticals, Inc. was formed in 1993 and has been very successful, completing several recent acquisitions and raising their stock price by several multiples.  The company is listed on the NYSE and employees own significant shares of stock (were able to pre-purchase shares at $2/share).  Although King Pharmaceuticals is a relatively new company, their plant site has an interesting history dating from the 1800’s when it was part of the original King Plantation.  One of the King family members, a Presbyterian minister, called the site “Glory Grove”.  The site became the original location of King College.  When King College moved to their present location, the site eventually became the site of the S. E. Massengill pharmaceutical company.  The site was later sold to Beecham Laboratories (which later became Smith-Kline Beecham) and was eventually acquired by the Gregory brothers who formed King Pharmaceutical.  The company is generous to employees (good benefits such as full childcare expenses, summer employment for children of employees, and an on-site Chaplain’s office) and is a good corporate citizen.  The King Pharmaceutical Benevolence Fund operates an International Medicines Ministry (distributes free medicines to developing countries), a Food Distribution Ministry, a Widow’s Mite Ministry (supporting widows in need), and a special Grant Fund.

 

King Pharmaceuticals, Inc., has focused their efforts on acquiring and marketing well-branded prescription pharmaceutical products in therapeutic areas such as cardiovascular, anti-infectives, women’s health, and vaccines and biologicals.  Some of their leading products are Altace, Lorabid, Neosporin, and Menest.  The tour of King Pharmaceuticals started in their corporate boardroom with an excellent presentation on the history of the company and its site by Terry Eckley, Public Relations.  Terry then led the group on a tour which included walk-throughs and presentations of their Quality Assurance Labs, Microbiology Lab, Bulk Manufacturing area, Packaging area (where a new automated machine can bottle ~500,000 tablets per hour), Tableting area (including blending, drying, granulating, tablet pressing, and tablet coating/encapsulating), and their Liquids and Sterile Products area (where suspensions are manufactured and bottled).  The company is in the process of adding a new major production line for Altace.  Since the tours were on Friday afternoon, most of the manufacturing areas were not operating, but that did provide better opportunity to view much of the equipment.  The total tour lasted a little over two hours and was very interesting.  The tour guides and presenters did an excellent job and were eager to answer any and all questions.  Many thanks to King Pharmaceuticals for their willingness to host our section and to Linda Patterson, our local section Program Committee coordinator for these tours!

Reflections Before Christmas at NSTCC

 

Thanksgiving and Christmas are magic times of the year.  During these special days, people everywhere pause to reflect, to give thanks, and to plan for a brighter New Year.  It is in this spirit that we present the following excerpts from Dr. Pollock’s Actions Log of the Pre-Engineering Program at Northeast State Technical Community College (NSTCC).

 

(08-21-00):

1st official meeting of NSTCC’s Pre-Engineering Advisory Committee:  This meeting was very successful.  These historic events were documented via E-mail minutes and submitted for publication in other professional newsletters.

 

(08-24-00):

John H. Thomason Memorial Scholarship:  A new engineering scholarship in honor of John.

 

 

(09-27-00):

Dr. Lee R. Partin’s MATHCAD WORKSHOP:  Pre-Engineering students helped each other on our new MAC G4 computers today.  Thank you, Lee Partin (lrpartin@eastman.com).

 

(10-02-00):

6th TSPE Club Meeting:  In addition to visiting our Pre-Engineering classes, Roy visited our TSPE Club and set aside blocks of time for one-on-one consultations with our students, faculty, and administrators.  Dr. Loutzenheiser’s visits are an effective way to help build bridges among academic institutions and to promote interest in mathematics, sciences, and engineering.

 

(10-11-00):

Dennis Marshall (dmarshal@eastman.com) visited our Pre-Engineering classes (ENGR1210: Introduction to Engineering & PHYS2220: Engineering Physics II).  He captured the imagination of our students in the increasingly important area of environmental engineering and government regulations.  Dennis holds an A.A.S. Degree in Chemical Technology from NSTCC.  His life and career are exemplary for our students.  We are proud of Dennis.

 

 (10-31-00):

10th TSPE Club Meeting:  Halloween Chemistry (& Engineering) Magic Show – Wow!  What a spectacular day for a “spook-tacular” show.  Again, the TSPE Club teamed-up with the ACS Club for another synergistic success!  NBC TV Channel 5 covered the events with a resultant news special feature:  Project Family: Education Focus by Mark Helton.  I made a personal VCR video copy of the 11:00pm Evening News (11-01-00).  Also, Ken Murray of The Kingsport Times-News (kmurray@timesnews.net) captured some beautiful shots and published one entitled: Natural Magic, Kingsport Times-News, p 6B, (Wednesday, 11-01-2000).  Student Rudy Tinker (ZRWT4@nstcc.cc.tn.us) really made this a super photo.  The other pair of hands belongs to John Shammel, who appeared in the video footage, too.

 

(11-01-00 & 11-02-00):

Celebration of Chemistry for 4th Graders:  A National Chemistry Week (NCW) activity organized by the Northeast Tennessee Section of the American Chemical Society (NETS-ACS) and sponsored by over 25 area industries and academic institutions.  Once again, our TSPE Club and our ACS Club members teamed-up to achieve success!  Our student volunteer escorts included:  Teresa Clark, Steven Compton, David Douthat, Amy Gauvreau, Jody Gibson, Mary Gold, Stephanie Greer, Katrina Hopson, Rebecca Kendrick, Pamela Leighton, Astrid Mayes, Pam Roscoe, Josh Strom, John Swink, and Payton Young.  Dr. David Fagerburg also personally attended this event and helped organize the volunteers with Dr. Jay A. Harvey and Dr. Mark A. Pollock.  We are very proud of this worthy community and professional service.

 

(11-06-00):

Dr. Fred T. Gilliam, Ph.D., P.E., Associate Dean of Engineering, The University of Tennessee, 101 Perkins Hall, Knoxville, TN 37996-2010 (423-974-2454, fax 423-974-9879), fgilliam@utk.edu, visited NSTCC.  We combined our 1st and 2nd year Pre-Engineering students into one classroom for Fred’s presentation.  His presentation centered on the various fields of engineering and The University of Tennessee’s strengths and reputation in engineering.  The transfer (articulation) agreements between UT and NSTCC are much improved, although not as “seamless” as those agreements between TTU and NSTCC.  Fred met with students, faculty, and administrators, including Nancy Forrester (nfforrester@nstcc.cc.tn.us), Dean of Mathematics & Sciences, Carole Shaw (dcshaw@nstcc.cc.tn.us), Vice President of Academic and Student Affairs, and President William W. Locke (wwlocke@nstcc.cc.tn.us), President of NSTCC.  The spirit of building bridges between community colleges and 4-year institutions continues to gain momentum and support.

NSTCC More than Affordable Alternative, Sam Watson, Press Staff Writer, JOHNSON CITY PRESS, (November 12, 2000).  Among many interesting items are included positive statements about our Chemical Technology Program and our Pre-Engineering Programs.
